The following business terms apply to all the contracts, which you conclude with us as a supplier (RugOnline) via our online shop. Unless otherwise agreed upon, the inclusion, if necessary, of your conditions is ruled out.
A consumer in the sense of the following regulations is every natural person who concludes a legal transaction which, to an overwhelming extent, cannot be attributed to either his commercial or independent professional activities. The term ‘businessman’ refers to every natural person, legal person or legally responsible partnership that concludes a legal transaction in pursuance of his/their independent professional or commercial activity.
Conclusion of the contract
The subject matter of the contract is the selling of products.
Our offers on the website are non-binding and are not a binding offer to conclude a contract.
You can use the online shopping cart system to place a binding purchase offer (order). Here, the goods meant for purchase are stored in the ‘Shopping cart’. You can use the respective button in the navigation bar to call up the “shopping cart” and make changes at any time. After the ‘check-out’ page has been called up and the respective personal data and payment and shipping conditions have been entered, all the order data is displayed again on the order overview page. Before the order is sent, you can re-check all the data, change it (which can also be done via the internet browser’s ‘back’ function) or cancel the purchase transaction.
When the order is placed using the “purchase” button, you are considered to have made a binding offer to us.
The acceptance of the offer (and with it, the conclusion of the contract) takes place immediately after placing the order via a textual confirmation (e.g. email), in which you receive confirmation (order acknowledgement) regarding the execution of the order or the delivery of the products in question.
The execution of the order and the sending of all the details necessitated by the conclusion of the contract take place via e-mail, in a partially-automated manner. Consequently, you have to ensure that the e-mail address that you have deposited with us is the correct one and that the receipt of the respective e-mails is guaranteed. In particular, you have to ensure that the respective e-mails are not blocked by a SPAM filter.
Prices
All prices are inclusive of legally applicable VAT. For deliveries into non-EU-foreign countries, there are no duties, taxes or other charges. Possible shipping fees are pointed out before the contract conclusion. Our prices may vary due to exchange rate fluctuations or changes in the world market of Carpets.
Delivery terms
In cooperation with our shipping partners UPS, FedEx, and DPD we deliver Carpets into the whole wide world.
Orders made until 02:00 p.m. of a working day will be delivered the same day. The delivery time takes about 1-4 days. Shipments will be delivered on working days between 09.00 a.m. and 05:00 p.m.

31 days right of return
Without prejudice to your statutory rights, RugOnline provides you with the following voluntary returns guarantee for all carpets purchased: The deadline of the voluntary returns guarantee begins with the end of the statutory right of cancellation and ends within 31 days after receiving the product. A punctual return is sufficient to meet the deadline. Note that the product(s) must be complete and in an unused and undamaged condition. We only take back the products in the original wrap or any similar. If you want to use our retour service, contact our customer care via email (support@rugonline.com) or phone. You will then receive the retour information and a retour label via mail. If you are not able to print the retour information we can send them via mail. The voluntary returns guarantee does not exist for gift coupons.
The returns within Canada with our return service are free. We do not accept non-prepaid returns. If you return the product by yourself, for example from the post office, we also won’t cover the charge.
Returns go to RugOnline, Toronto/Canada
For reimbursements, we will use the same means of payment as you used for the initial transaction.
This returns guarantee does not affect your statutory rights and therefore does not affect your right of revocation as described above.
Warranty
If not communicated otherwise, we, RugOnline, grant you a guarantee for 5 years from the conclusion of the contract (invoice date) on our hand-knotted carpets.
Validity:
The warranty covers all new hand-knotted carpets. Excluded are: all woven carpets and all Loom-knotted carpets. This letter type of carpet is recognizable by the description “Loom” in its name. Our warranty covers the durability of the knots, fringes and piles under normal use at home. We cannot cover any damage caused by improper or excessive use (e.g. stains, chemicals, pets). The statutory warranty rights remain unaffected and continue to apply.

For the handling of the guarantee, we need the invoice for the carpet from you. Our service team will be happy to discuss the next steps with you.
Warranty service:
At the discretion of our experts, we will repair your carpet free of charge or replace it with an equivalent carpet in consultation with you.
Payment terms
RugOnline uses SSL (Secure Socket Layer). Therefore your data is secure from third parties. Even banks use this system so you can be sure that your data is safe.
RugOnline offers you the following ways to pay:

Companies inside the EU
We deliver to commercial customers with a valid value-added tax identification number within the EU at net prices by the rules for a simplified tax deduction. The sales tax is automatically deducted in the order process if you enter your value-added tax identification number during check-out.
Packing station
We do not deliver to packing stations.
Transport damage
Visible product damage must be reported immediately to UPS/FedEx/DPD/DHL. Non-visible damages have to be reported to UPS/FedEx/DPD/DHL immediately after detection.
Certificate of Authenticity
We guarantee, that the delivered carpet is hand knotted. For each carpet worth more than $269 we hand out a certificate of authenticity, for carpets worth under $269 a certificate of authenticity can be handed out on request.
Reservation of ownership
The goods remain our property until the purchase price is paid in full.
Alternative dispute resolution
The European Commission provides a platform for the out-of-court resolution of disputes (ODR platform), which can be viewed at https://ec.europa.eu/odr.
Choice of law, place of fulfilment, jurisdiction
Canada law shall apply. This choice of law only applies to customers if it does not result in the revocation of the protection guaranteed by the mandatory provisions of the law of the country in which the respective customer’s usual place of residence is located (benefit-of-the-doubt principle).
If you are not a consumer, but a businessman, a legal entity under public law or an institutional fund governed by public law, our place of business is the place of jurisdiction as well as the place of fulfilment for all services that follow from the business relationships that exist with us. The same condition applies to situations in which you are not associated with a general place of jurisdiction in Canada or the USA, as well as situations in which the place of residence or the usual place of residence is not known at the time of commencement of proceedings. This has no bearing on the capacity to call upon the court associated with another place of jurisdiction.
The provisions of the UN Convention on Contracts for the International Sale of Goods are explicitly inapplicable.
